Welcome to Scribing.io ("Scribing.io," "Platform," "we," "our," or "us"). These Platform Terms of Use ("Terms") govern your access to and use of our website, applications, software, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

1. Eligibility

• You must be at least 18 years old (or the legal age of majority in your jurisdiction).

• You must be a licensed healthcare professional, healthcare organization, or other authorized user who is legally permitted to use the Services for the intended purpose.

• You must be legally capable of entering into a binding contract.

• If you access or use the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of the Services

Scribing.io provides AI-assisted healthcare workflow tools, which may include conversational transcription, clinical documentation generation, SOAP-style summaries, structured documentation, and related productivity features.

The Services are intended to assist qualified healthcare professionals and organizations. Scribing.io is not a healthcare provider and does not provide medical advice, diagnosis, treatment, or clinical decision-making. AI-generated output may contain errors, omissions, or inaccuracies and must be reviewed, edited, and independently verified by an appropriately qualified professional before it is used for clinical care, medical records, billing, coding, legal purposes, or any other consequential purpose.

3. Account Registration and Security

• You agree to provide accurate, current, and complete account information and to keep that information updated.

• You are responsible for maintaining the confidentiality of your credentials and for activities conducted through your account.

• You must promptly notify us of any unauthorized access to or use of your account.

• We may suspend or terminate accounts that violate these Terms or present a security, legal, or compliance risk.

4. Customer and User Responsibilities

• You are responsible for obtaining all notices, authorizations, consents, and permissions required by applicable law before recording, uploading, transmitting, or otherwise processing audio, patient information, or other data through the Services.

• You are responsible for determining whether and how the Services may be used in connection with regulated health information and for configuring and using the Services in accordance with applicable law, professional obligations, and your organization's policies.

• Where Scribing.io acts as a business associate or service provider subject to a separate agreement, the applicable business associate agreement, data processing agreement, or other written agreement will govern to the extent of any conflict with these Terms.

5. Acceptable Use

You may not:

• Use the Services for unlawful, fraudulent, abusive, or unauthorized purposes.

• Upload or transmit malware, viruses, malicious code, or other harmful material.

• Access or attempt to access another user's account, data, or our systems without authorization.

• Interfere with, disrupt, probe, scan, or circumvent security or access controls.

• Reverse engineer, decompile, disassemble, or attempt to derive source code or underlying models, algorithms, or systems, except to the extent expressly permitted by applicable law.

• Copy, reproduce, resell, lease, sublicense, or create derivative works of the Services except as expressly permitted in writing.

• Use the Services in a manner that violates applicable privacy, health data, intellectual property, or other laws.

6. Data Privacy and Security

Your use of the Services is also governed by the Scribing.io Privacy Policy. We use administrative, technical, and organizational safeguards designed to protect information processed through the Services. No method of transmission, storage, or security control can be guaranteed to be completely secure.

Where applicable, the parties may enter into a separate Business Associate Agreement (BAA), Data Processing Agreement (DPA), or similar agreement governing regulated information. In the event of a conflict concerning regulated data, the applicable separate agreement will control the extent of the conflict.

7. Customer Data and Intellectual Property

As between you and Scribing.io, you retain your rights in data, content, audio, transcripts, documentation, and other materials that you submit to the Services ("Customer Data"). You grant Scribing.io a limited license to host, process, transmit, display, and otherwise use Customer Data as reasonably necessary to provide, secure, maintain, and improve the Services, comply with law, and perform our contractual obligations. Any use of regulated health information will be subject to applicable agreements and law.

Scribing.io and its licensors retain all right, title, and interest in the Services, software, models, interfaces, designs, trademarks, documentation, and other materials provided by us, excluding Customer Data. Subject to your compliance with these Terms and any applicable subscription agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during your applicable subscription term.

8. Subscriptions, Fees, and Refunds

• Certain features require a paid subscription. Pricing, billing intervals, usage limits, and applicable taxes will be presented at purchase or in your applicable order or subscription agreement.

• Except where required by law or expressly stated otherwise, fees are non-refundable and non-cancellable.

• We may change pricing or features on a prospective basis with reasonable notice.

• Failure to make timely payment may result in suspension or termination of access.

• Refunds are only available for payments processed through Paddle, our official payment partner.

• As per Paddle’s Buyer Terms, customers are eligible for a refund within 14 days of purchase, provided that the service has not been extensively used during that period.

• If your payment was made via Paddle and you wish to request a refund, please contact us at support@scribing.io with your order reference.

• Payments made through other gateways are non-refundable, except in cases of duplicate charges or billing errors.

• We encourage all users to take advantage of our 7–14 day free trial before purchasing a subscription.

9. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCRIBING.IO DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

Scribing.io does not warrant that the Services will be uninterrupted, error-free, completely secure, or that AI-generated outputs will be accurate, complete, or suitable for any particular purpose.

You are solely responsible for professional judgment and for reviewing and validating any output before relying on it.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCRIBING.IO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO SCRIBING.IO FOR THE SERVICES DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $100.
